Terms of Service

These Terms of Service govern the use of the reserveme.ai Platform, Widget and APIs operated by Reservingtech OĂś. For Customers on a subscription, the Master Subscription Agreement (MSA), Order Form, Data Processing Addendum (DPA), Acceptable Use Policy (AUP) and Security & Sub-Processors Policy form the binding contract and prevail over this public summary.

1. Who provides the service

The reserveme.ai Platform is provided by Reservingtech OĂś, registered in Estonia under registry code 17199141, registered office at Narva mnt 5, 10117 Tallinn, Estonia, operating office in ZĂĽrich, Switzerland. The Agreement is governed by Swiss law and subject to the exclusive jurisdiction of the ordinary courts of the City of Zurich (Zurich 1). Contact: francesco@reserveme.ai.

2. What the Platform does

reserveme.ai is the intelligent operations platform for heavy-equipment rental and fleet management. It includes: fleet management for cranes, forklifts, aerial work platforms, earth-moving machinery and other specialised equipment; machine-vision extraction from Customer-uploaded technical documentation (load charts, capacity curves, manuals); preventive and corrective maintenance modules; an AI-powered quotation engine with PDF generation; an embeddable booking Widget; outbound-messaging integrations over email, WhatsApp Business and SMS; a natural-language Workflow Automation builder; and related APIs. The Platform is provided as software-as-a-service; no title or copy is transferred.

3. Subscription, fees and renewal

Unless otherwise agreed, the subscription fee is USD 150 per month, billed monthly in advance in United States Dollars, exclusive of taxes. The initial term is one calendar month and renews automatically for successive monthly periods. Customer may terminate at any time without notice or penalty by cancelling in-Platform or writing to francesco@reserveme.ai; termination takes effect at the end of the then-current paid month and no refund is due for the month in progress. We may increase Fees with 30 days' notice; continued use after the effective date constitutes acceptance.

4. Accounts and acceptable use

Customer must provide accurate information, protect credentials, enable multi-factor authentication where available, and is responsible for all activity under its accounts. Prohibited uses include: treating the Platform as a safety-critical system or substitute for qualified lifting-appointed-person judgement; uploading documentation without the required rights; reverse-engineering the Platform or its AI models; using AI output to train a competing model; sending spam, phishing or communications in breach of the Meta WhatsApp Business Messaging Policy, the 24-hour customer-care window or other channel rules; operating Workflow Automations that execute material actions without human verification; sublicensing or reselling the Platform; and any use in violation of applicable law or sanctions.

5. AI output requires human verification

AI output produced by the Platform — including specifications extracted from uploaded documents, asset selections, availability checks, quotations, maintenance predictions, Widget replies, outbound emails, WhatsApp and SMS messages, and Workflow Automations — is probabilistic and may be incorrect, incomplete or misleading. A qualified human employee or agent of Customer must independently review, verify and confirm every material AI output before it is acted upon or communicated to any end-user. The Platform is not certified or warranted to comply with any equipment-specific or jurisdiction-specific safety standard (including EN 13000, ISO 4305/4310, F.E.M., ISO 3691, ASME B56/B30, OSHA 29 CFR 1910.178, SUVA rules, or the EU Machinery Directive 2006/42/EC and Regulation (EU) 2023/1230). Compliance is Customer's responsibility.

6. Availability and third-party dependencies

The Platform is provided on an "as-is" and "as-available" basis. No uptime commitment or service-level agreement applies. The Platform depends on third-party services for essential functions, including Amazon Web Services and Google Cloud Platform™ (infrastructure and AI inference), OpenAI and Anthropic (foundation models), Stripe (payments), SendGrid and Twilio (email and SMS) and Meta Platforms (WhatsApp Business API). Downtime, latency, error, rate-limit, price change or deprecation of any such service is outside our reasonable control and does not constitute a breach of the Agreement.

7. Liability and physical safety

Nothing in these Terms limits liability that cannot be limited under applicable law. Subject to that, the Platform and AI output are advisory only. All responsibility for the physical consequences of equipment operation — including tip-over, dropped load, collision, overloading, uncontrolled movement, personal injury, death, property damage, environmental release, regulatory penalty and insurance claim — lies exclusively with Customer and its operators, regardless of whether any AI output contributed to the decision. Indirect, consequential, punitive and incidental damages are excluded; aggregate liability is capped at the Fees paid by Customer in the twelve months preceding the event giving rise to the claim.

8. Suspension, termination and full agreement

We may suspend the Platform immediately for non-payment beyond 14 days, AUP violation, threats to Platform security, or applicable sanctions. Either party may terminate for material uncured breach after 15 days' written notice, or immediately on insolvency. On termination Customer must stop using the Platform, remove the Widget from its websites, and may export data via self-service tools for 30 days, after which data is deleted in accordance with the DPA. Sections that by their nature should survive termination shall so survive. For Customers on subscription, the MSA, Order Form, DPA, AUP and Security & Sub-Processors Policy form the complete agreement and prevail over this summary in the event of conflict.
